FICTIONAL CASTING CALL DISCLAIMER

Acknowledgment of the terms "Casting Call" within the game environment, whether encountered within the ordinary course of gameplay or as part of specific features, does not imply or establish a bona fide casting call for real-world employment, including roles in modeling or acting. It is essential to understand that any references to "Casting Call" within the game are entirely fictional and intended solely for entertainment purposes. These simulated casting calls lack any legal or contractual validity and must not be interpreted as genuine avenues for professional employment or career advancement.

INDEPENDENT; NO AFFILIATION

Activities hosted on the CelebPups app are entirely independent of and not affiliated with Apple Inc., Alphabet Inc., or any of their stores, subsidiaries, or affiliates ("Third-Party Entities"). Therefore, Apple Inc., Alphabet Inc., and their related entities assume no responsibility or liability for any aspect of these activities.

NO ENDORSEMENT

It is explicitly stated that there is no association, sponsorship, endorsement, or official affiliation with YouTube, Instagram, TikTok, WhatsApp, Facebook, Twitter, or any other entities. The use of logos, trademarks, websites, and other marks belonging to these entities is purely for informational purposes and does not imply endorsement or sponsorship by them.

USER RESPONSIBILITIES AND ACCOUNT MANAGEMENT

In order to participate in our game (CelebPups), you are required to provide your correct date of birth and select a nickname. By doing so, you acknowledge that you are accountable for all activities associated with your account, including any video submissions.

You agree that you bear sole responsibility for all video submissions linked to your chosen nickname (your account). We reserve the right to deactivate your user account at our discretion, particularly if you fail to adhere to any provisions outlined in these Terms, community guidelines, or engage in activities on your account that contravene our Terms.

Animal Welfare and Safety:

Humane Treatment: Users must ensure that all interactions with animals are conducted safely and humanely, in accordance with applicable animal welfare laws and regulations.
Supervision: Users are responsible for supervising their pets during participation in the game to prevent any harm or distress.
Ownership and Consent: Users confirm that they own the pets featured in their content or have obtained necessary permissions.

We retain the sole discretion to remove or delete video submissions or ban your account if any video submission is deemed likely to cause damage to or impair the Services, infringe upon or violate any third-party rights, or contravene any applicable laws or regulations, including animal welfare laws.

CONTENT ACCESSIBILITY ON THE SERVICE/GAME

Our Service/Game offers a diverse range of content crafted for your engagement and enjoyment. From captivating music to immersive voiceovers, interactive features, intuitive software applications, insightful analytics, and supplemental resources—our platform provides a comprehensive array of materials. Whether created by our users, developed by InstaSleb LLC, or sourced from trusted third-party providers, these diverse materials collectively form the vibrant tapestry of 'Content' available on our platform.

It's important to emphasize that all content accessible on the Service/Game is subject to legal scrutiny. Welcome to the CelebPups platform, where a diverse array of content awaits you, ranging from graphics, voiceovers, software, images, and text, to illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, and music. Collectively, this rich tapestry is referred to as 'InstaSleb LLC Content,' all of which is either owned or licensed by InstaSleb LLC. Your utilization of InstaSleb LLC Content on our Services must adhere to the terms outlined herein. Unauthorized use of InstaSleb LLC Content for purposes not explicitly sanctioned by these Terms is strictly prohibited.

Furthermore, you explicitly acknowledge and agree that, unless expressly permitted by us in these Terms or another executed agreement, you shall not be entitled to receive any compensation or consideration arising from any User Content, including those contained within User Content created by you.

By submitting content involving animals, you represent and warrant that:

Ownership and Consent: You own the animals featured or have obtained all necessary permissions.
Compliance: The content complies with all applicable laws and regulations related to animal welfare and use in media.
Humane Treatment: All animals are treated with kindness and are not subjected to harm, abuse, or distress.

When accessing content provided by other users on our Services, you do so at your own risk. All content provided on our Services is for general informational and entertainment purposes only and should not be construed as professional advice.

CONTENT INTEGRITY AND OWNERSHIP

Animal Exploitation: Engaging in any form of animal exploitation, including but not limited to:

- Displaying content where animals are visibly distressed or harmed.
Engaging in the use of automated methods, such as bots, to access the Service with the intent of harvesting information that could identify individuals.

Utilization of the Service does not confer ownership or entitlement to any component of the Service, inclusive of usernames (nicknames) or any other content shared or posted by InstaSleb LLC or other users.

By choosing to submit any material on our platform, you legally acknowledge and agree that your submission must strictly adhere to the terms and conditions delineated within this Agreement. Furthermore, it is imperative that your video submissions refrain from incorporating any third-party intellectual property, including but not limited to copyrighted material, unless you possess explicit authorization from the respective rights holder or are otherwise legally entitled to utilize such material. You bear the full legal responsibility to ascertain and ensure that the content you upload onto our platform complies comprehensively with all relevant laws, regulations, and contractual obligations.

Failure to adhere to these stipulations may result in the immediate removal of your submission, as well as potential legal ramifications, including but not limited to infringement claims and liability for damages. By submitting your video content, you expressly indemnify and hold harmless our platform, its affiliates, and associated entities from any and all claims, losses, damages, liabilities, costs, and expenses arising from or related to any breach of this Agreement or violation of applicable laws.

USER RIGHTS AND PERMISSIONS: TERMS AND CONDITIONS OF USE

While you maintain full ownership rights to your content and video submissions, it is imperative to acknowledge your obligation to grant specific rights to both InstaSleb LLC and fellow users of the service. These rights are delineated in detail below to ensure transparency and legal compliance:

License Grant to InstaSleb LLC: By uploading your content or video submissions to the platform, you grant InstaSleb LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license. This license allows InstaSleb LLC to use, reproduce, modify, adapt, distribute, publicly display, and perform your content in connection with the operation of the service.

User Rights and Permissions: In addition to granting rights to InstaSleb LLC, you also provide certain permissions to fellow users of the service. These permissions include the right to view, engage with, and share your content within the confines of the platform's functionalities.

Duration of License: The license granted to InstaSleb LLC and fellow users is perpetual and irrevocable, meaning that it remains in effect even if you decide to remove or delete your content from the platform. However, this license terminates when your content is deleted from the service, except for instances where copies of your content may remain within the platform's backup systems for a reasonable period.

Compliance with Terms: It is essential to adhere to the terms and conditions outlined by InstaSleb LLC regarding the use of your content. This includes refraining from uploading content that infringes upon the rights of third parties, violates any applicable laws or regulations, or involves unethical treatment of animals.

COGNIZANCE OF LICENSING ENTITLEMENTS CONFERRED UPON INSTASLEB LLC

By undertaking the act of submitting a video, you expressly grant InstaSleb LLC a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license. This license empowers InstaSleb LLC to utilize, reproduce, distribute, and display the content online, alongside any successors or affiliates thereof, in accordance with the terms delineated within this Agreement.

License Granted to Other Users: Additionally, you grant each user of the CelebPups application a worldwide, non-exclusive, royalty-free license to access, view, and interact with your content, including videos, within the game environment.

Furthermore, users are unequivocally prohibited from engaging in any activities that entail modifying, adapting, or creating derivative works based on your content without obtaining your express and unequivocal consent.

It is imperative to grasp the foundational premise that while CelebPups serves as a facilitative platform for the dissemination and consumption of content, users are entrusted with the inherent responsibility of meticulously adhering to the intricate web of applicable laws and regulations governing the utilization and dissemination of their content, including animal welfare laws.

CelebPups, as the custodian of this interactive ecosystem, meticulously safeguards the integrity, legitimacy, and ethical underpinnings of the platform by reserving the unequivocal right to undertake decisive measures in instances where content contravenes the established tenets delineated within its Terms of Service or Community Guidelines. In such circumstances, CelebPups retains the prerogative to expeditiously remove any infringing content, thereby preserving the sanctity of its operational ethos and upholding the user experience within its digital milieu.

DELETION OR REMOVAL OF YOUR VIDEO SUBMISSION

As a participant in our app/game, upon submitting a casting call, you inherently retain the right to withdraw your video submission at your discretion. This entitlement is exercised through a prescribed process accessible within the settings page of the app/game, specifically located within the "Delete Casting Call" section.

Moreover, it is imperative to underscore that the accessibility of the player's casting call video submission is temporally constrained, remaining available for viewing purposes solely for a period of 24 hours from the day of submission.

Additionally, it is crucial to emphasize that InstaSleb LLC reserves the privilege to retain server copies of your video submissions exclusively for internal purposes. The management of these server copies shall be conducted in strict adherence to our Privacy Policy and all pertinent laws governing data protection.

ENTITLEMENT TO COMMERCIALIZE: THE LEGITIMATE AUTHORITY TO MONETIZE

CelebPups employs a variety of third-party services, such as AdMob and Chartboost, to offer video rewards aimed at enriching user engagement and facilitating the acquisition of digital gifts, including hearts. These rewards are earned through actions such as app downloads or ad views, aligning with our Terms and Conditions and legal standards. By utilizing the platform's features, you tacitly recognize and consent to the integration of these third-party services for monetization purposes.

Third-Party Tracking, Cookies, and Data Collection

Your interaction with these services may involve targeted ads and promotional content, contributing to the generation of digital gifts. These third-party services may use tracking technologies, such as cookies, pixels, and software development kits (SDKs), to collect data about your interactions within the app. Data collected may include:

In-app purchase tracking.

While CelebPups strives to create a seamless and engaging user experience, participation in monetization activities—such as viewing ads or completing reward tasks—is voluntary. Users who choose to participate are contributing to the overall experience through their engagement with ads and promotional content, which in turn supports the availability of digital gifts.

VIDEO SUBMISSION MANAGEMENT PROTOCOL: DELETION AND REMOVAL PROCEDURES

CelebPups, at its sole discretion, retains the exclusive authority to remove content or video submissions from the game/service after a specified duration, without providing prior notification to users or players. It is highly advised that users take proactive measures to safeguard their video submissions by downloading and securely storing videos on personal devices.

It is essential to underscore that CelebPups retains the unequivocal right to remove, take down, or delete any content from the service in the event of a breach of this Agreement.

COPYRIGHT PROTECTION AND INFRINGEMENT RESOLUTION PROTOCOL

If you believe that your original content, which is protected by copyright, has been unlawfully infringed upon within our platform, we take this matter seriously and offer our full support in resolving such concerns.

In the event that you suspect a violation of your copyright, including unauthorized reproduction, distribution, or adaptation of your protected works, we encourage you to visit www.instasleb.biz. Our dedicated support team is available to assist you in navigating the necessary steps to address and rectify any potential infringement issues.

By reporting suspected copyright infringements through our established channels, you enable us to promptly investigate and take appropriate action in accordance with applicable laws and regulations.

TERMS OF SERVICE TERMINATION AND ACCOUNT REINSTATEMENT POLICY

You maintain the prerogative to terminate your utilization of the Service at any juncture by accessing the settings page and electing to 'Delete Account.' Upon the execution of this action, all associated data linked to your engagement with the service will be irrevocably expunged from our infrastructure.

Should a user choose to reinstate CelebPups subsequent to account deletion, they shall commence anew, bereft of any previous game progress.

Additionally, to reacquire membership in any prior pup-packs (groups), an invitation would be requisite. The availability of prior usernames upon reinstallation remains contingent upon various factors and may or may not be forthcoming.

CIRCUMSTANCES LEADING TO TERMINATION OR SUSPENSION BY CELEBPUPS

CelebPups reserves the right to terminate or suspend your account and access to our services if we determine, at our sole discretion, that you have violated our Terms of Service, Community Guidelines, or any applicable laws or regulations, including animal welfare laws.

Instances constituting grounds for termination or suspension may include, but are not limited to:

Breach of Terms: Any breach or violation of the Terms of Service, including but not limited to fraudulent activity, unauthorized access, or misuse of our platform.
Inappropriate Content: Posting or sharing content that is deemed unlawful, obscene, defamatory, or infringes upon the rights of others, including intellectual property rights and animal welfare violations.
Harassment or Abuse: Engaging in harassment, bullying, or abusive behavior towards other users, including threats, hate speech, or discrimination based on race, gender, religion, or other protected characteristics.
Illegal Activity: Participating in or promoting illegal activities, including but not limited to scams, phishing, or the distribution of malware or other harmful software.
Repeated Violations: Multiple or repeated violations of our policies, despite previous warnings or sanctions.

Upon termination or suspension of your account, you will be notified of the reason for such action, unless prohibited by law. CelebPups may take immediate action, including but not limited to disabling access to your account, removing content, or pursuing legal remedies.

If you believe your account has been terminated or suspended in error, you may appeal the decision by contacting us through www.Instasleb.biz and providing relevant information or evidence to support your case. CelebPups will review such appeals in good faith and may reinstate your account if warranted.

CELEBPUPS TERMS: DOWNLOADABLE SOFTWARE USAGE AND LICENSING AGREEMENT

Where the Service incorporates downloadable software, participants hereby provide consent for such software to undergo automatic updates on their devices, subject to their device settings, upon the availability of a new version or feature. Unless the software is subject to additional terms governing a separate license agreement, CelebPups grants participants a personal, global, royalty-free, non-transferable, and non-exclusive license to utilize the software provided by CelebPups as an integral component of the Service. This license is exclusively for the purpose of facilitating participants' utilization and enjoyment of the Service as provided by CelebPups, in accordance with the terms set forth in this Agreement. Participants are expressly prohibited from reproducing, modifying, distributing, selling, or attempting to reverse engineer or extract the source code of the software, unless expressly permitted by CelebPups in writing.

Participants of CelebPups further commit to refraining from any actions that could compromise or undermine the functionality, security, or integrity of the software. This encompasses a range of prohibited activities, including but not limited to reverse engineering, hacking, or attempting to bypass any technological protection measures established by CelebPups. By agreeing to these terms, users acknowledge the importance of maintaining the platform's stability and safeguarding its users and resources. Any violation of these provisions may result in appropriate disciplinary action as outlined in our policies and may also lead to legal consequences in accordance with applicable laws and regulations.

CelebPups retains the authority to modify, update, or terminate the software at its discretion, with or without prior notice. Participants acknowledge and accept that CelebPups is not obligated to provide advance notification of such changes. Consequently, CelebPups shall not be held liable to participants or any third party for any adjustments, updates, or discontinuations to the software. This provision is in line with our commitment to maintaining flexibility and adaptability in our platform's development, ensuring its continued relevance and effectiveness. Users are encouraged to stay informed about any potential changes by regularly reviewing our policies and announcements.

Participants acknowledge and agree that CelebPups may collect and process certain information about their device and usage of the software, as outlined in CelebPups's Privacy Policy.

In the course of utilizing our Service, you may encounter software components provided under an open source license framework, which we extend to you for your use. It is imperative to recognize that certain provisions within open source licenses possess the authority to supersede and alter elements of the terms delineated herein. Therefore, it is incumbent upon you to diligently review and comprehend the terms articulated within these licenses.

By continuing to utilize our service, you expressly agree to abide by the terms and conditions set forth herein, including any supplementary obligations imposed by open-source licenses governing the software components integrated within the service. Loss of Profits, Revenues, Business Opportunities, Goodwill, or Anticipated Savings;
Loss or Corruption of Data;
Indirect or Consequential Loss; or
Punitive Damages, arising from:
a. Errors, Mistakes, or Inaccuracies on the Service;
b. Personal Injury or Property Damage Resulting from Your Use of the Service, including activities involving animals;
c. Any Unauthorized Access to or Use of the Service;
d. Interruption or Cessation of the Service;
e. Viruses or Malicious Code Transmitted to or through the Service by Any Third Party;
f. Any Content, whether Submitted by a User or CelebPups, including Your Use of Content; and/or
g. The Removal or Unavailability of Any Content.

This provision encompasses any claim, regardless of whether the claim asserted is based on warranty, contract, tort, or any other legal theory.

CelebPups and its affiliates (collectively referred to as the 'Provider') shall not be liable for any indirect, special, incidental, punitive, or consequential damages, including but not limited to loss of profits, business interruption, or loss of data, arising out of or in connection with the use or performance of the Service, even if Provider has been advised of the possibility of such damages.

Provider's total liability for any claim arising out of or relating to the Service, regardless of the nature of the claim or the legal theory upon which it is based, shall not exceed USD $200 or the total amount of revenue remitted to you by Provider from your use of the Service within the 12 months preceding the date of your written notice to Provider regarding the claim, whichever is greater.

The limitations of liability set forth herein are fundamental elements of the basis of the bargain between you and Provider, and Provider would not have provided the Service without such limitations. These limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.

You bear the entire cost of any necessary servicing, repair, or correction. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.

No Guarantee of Safety: CelebPups does not guarantee the safety of any activities involving animals depicted in the game. Users participate at their own risk.

CONTINUATION OF THIS AGREEMENT

This Agreement shall remain valid until terminated by either party. Upon termination, all rights and obligations of the parties shall cease, except for those provisions intended to survive termination, such as the Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law clauses. Any provisions of this Agreement which, by their nature, are intended to endure termination shall do so, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

NO WAIVER

If we fail to enforce any provision of this Agreement at any time, it does not mean that we are relinquishing our right to enforce that provision or any other provision in the future. Our failure to act promptly in response to any breach of this Agreement does not constitute a waiver of any rights under this Agreement and shall not prevent us from taking action in the future.

SEVERANCE

If any provision of this Agreement is found to be invalid, illegal, or unenforceable for any reason by a court of competent jurisdiction, such provision shall be severed from this Agreement, and the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

STATUTE OF LIMITATIONS AND LEGAL ACTION RESTRICTION

You and InstaSleb LLC mutually acknowledge and agree that any and all causes of action arising out of or related to the services provided by InstaSleb LLC must commence within one (1) year after the cause of action accrues. Failure to initiate legal proceedings within this stipulated time-frame shall result in the permanent barring of such cause of action.

MODIFICATION OF TERMS

CelebPups reserves the right to amend or modify these Terms of Service at any time, in its sole discretion, without prior notice. By electing to participate in a Casting Call, participants explicitly consent to abide by the Terms of Service, Community Guidelines, and Privacy Policies established by CelebPups. These documents collectively constitute a legally binding agreement between the participant and CelebPups.

Participants are strongly advised to thoroughly review these documents before participating, as they contain provisions regarding the transfer of rights and indemnities to CelebPups by participants, as well as outline the limitations on participants' rights and remedies. INTELLECTUAL PROPERTY RIGHTS IN VIDEO SUBMISSIONS

Except for the utilization of any materials provided by CelebPups in the form of direction or audio (voice-over), ownership rights to each submission shall unequivocally vest with the users. It is hereby acknowledged that video submissions are considered privately distributed content within the framework of the game. Accordingly, the submission of a video entails its dissemination within the user's designated pup-pack (group). It is understood that said video submission shall be accessible to all members of the user's pup-pack, ensuring privacy and limited access within the designated circle of friends, akin to other privately shared content within the game platform.

By submitting their video into the platform, the chosen participant expressly consents to grant CelebPups and its licensees, successors, and assigns an irrevocable, non-exclusive, perpetual, royalty-free license and authorization to utilize and exploit the submission, including all accompanying images, textual content, and materials, whether in whole or in part, within the user's designated pup-pack. This extensive authorization extends to, but is not limited to, streaming media, broadcast, interactive platforms, mobile applications, and online systems, across all linguistic dimensions within the private group.

ARBITRATION AND DISPUTE RESOLUTION

In any arbitration initiated where damages exceed $75,000, the American Arbitration Association (AAA) rules will govern. The arbitration will be conducted in Trenton, New Jersey, before a single arbitrator, and will follow the AAA’s Commercial Arbitration Rules and Supplementary Procedures for Consumer-Related Disputes, as modified by this agreement.
